General Terms and Conditions (GTC) – Bohemian Dragomans®
1. Scope of Application These GTC apply to all business transactions between Bohemian Dragomans® and its customers (“Client”). The Client acknowledges these terms upon placing an order.
2. Deviating Agreements & Terms Deviations, amendments or ancillary agreements require written confirmation. Any terms and conditions of the Client that conflict with these GTC are not part of the contract.
3. Order Placement & Client Obligations
3.1 Upon request by email, fax, phone or mail, the Client receives a non-binding quote. The contract is concluded once the order is confirmed in writing by Bohemian Dragomans®.
3.2 The Client must specify target language, subject area, intended use, preferred terminology, and formatting requirements. For print purposes, a final proof must be provided.
3.3 Relevant reference materials must be provided proactively. Missing context may be requested additionally.
3.4 Errors resulting from missing or insufficient information are the Client’s responsibility.
4. Execution & Delivery
4.1 Translations are completed to the best of our knowledge and in accordance with grammar, meaning and purpose. Unless otherwise instructed, terminology is translated in generally accepted form.
4.2 In case of ambiguity due to insufficient context, liability lies with the Client.
4.3 We may involve qualified third parties. Client contact with such third parties requires prior approval.
4.4 Delivery dates are respected whenever possible. Delays caused by force majeure entitle Bohemian Dragomans® to cancel the contract or request a new deadline. Damages claims are excluded.
4.5 Delivery is made per the Client’s preferred method (FTP, email, fax, mail).
4.6 For B2B Clients or legal entities, Bohemian Dragomans® is not liable for damages during shipping. The Client must confirm receipt.
5. Fees & Payment
5.1 Unless otherwise agreed, fees are based on standard lines, word count, or a fixed offer.
5.2 A 50% advance payment may be requested. The remaining amount is due upon delivery. Offsetting against disputed claims is excluded.
5.3 All prices include VAT unless stated otherwise. For business Clients, VAT is added.
5.4 Payments are made by bank transfer or, if agreed, PayPal.
5.5 Any shipping costs are itemized separately.
5.6 Payment is due immediately upon receipt of invoice; default begins after 14 days.
6. Defects & Warranty
6.1 Legal liability provisions apply.
6.2 For business Clients: a) Complaints must be made in writing, with specific details, within 14 days. b) Bohemian Dragomans® may correct reported defects. If not corrected within a set period, the Client may request contract cancellation or a price reduction. c) No liability for defects caused by poor or incomplete source texts or missing context. d) Liability is limited to intent and gross negligence. e) For simple negligence, liability is limited to essential contractual obligations and capped at €100,000 (professional indemnity). f) No liability for indirect damage from translation defects under simple negligence.
7. Liability
7.1 Liability is governed by statutory provisions.
7.2 For business Clients, Section 6.2 applies accordingly.
8. Force Majeure & Termination
8.1 Bohemian Dragomans® is not liable for delays caused by force majeure (natural disasters, outages, viruses, etc.). In such cases, we may cancel the contract or agree on a new timeline.
8.2 The Client may cancel the contract for just cause prior to delivery. Written form is required. Bohemian Dragomans® is entitled to compensation minus saved expenses.
9. Retention of Title
9.1 Translations remain the property of Bohemian Dragomans® until full payment is received.
9.2 Usage rights transfer only upon full payment.
9.3 If the translation is for a third party, we reserve the right to notify the third party of any outstanding claims.
10. Copyright
10.1 The translator retains copyright.
10.2 The Client indemnifies Bohemian Dragomans® from third-party copyright claims.
11. Confidentiality & Data Protection
11.1 Bohemian Dragomans® commits to confidentiality regarding all documents and information.
11.2 Client data is used solely for order processing. Transmission to third parties only occurs where necessary (e.g. banks, delivery services). Data is deleted after legal retention periods.

12. Contract Language & Text Storage
12.1 Contract language is German.
12.2 The contract text is stored but not accessible online. It is provided via email upon confirmation.
13. Applicable Law & Jurisdiction
13.1 German law applies. For consumers, this applies only insofar as their protection under national law is not reduced.
13.2 Jurisdiction is Nuremberg for business Clients. Additional legal venues remain unaffected.
13.3 Invalid provisions do not affect the validity of the remaining terms.
